Organizational record — This page is the Library's organizational record — what was filed, when, and by whom. The plan-version of this page, written before any of it had happened, was superseded August 3, 2026.

This page once described, in the future tense, how the Library would become a legal organization. That work is done; the plan-version of this page is preserved in the Library's records, superseded August 3, 2026. What follows is what actually happened.

The record

July 10, 2026 — Oregon Department of Justice Charitable Activities Registration No. 72571 acknowledged.

July 15–16, 2026 — Certificate of name compliance issued by the Division of Financial Regulation (corrected copy July 16), authorizing use of “Trust” in the corporate name.

July 21, 2026 — Articles of Incorporation e-filed with the Oregon Secretary of State. Oregon Registry No. 259005891.

July 30, 2026 — Federal Employer Identification Number issued (kept as an internal corporate record).

August 3, 2026 — The founding board — David Sullivan, President; Barbara K. Sullivan, Treasurer; Kenneth Magee, Secretary — seated by unanimous written consent, adopting Bylaws v7, the Constitution and Readers' Bill of Rights v1, and a Conflict of Interest Policy v2. All published on the governance page.

August 9, 2026 — The board added Barry Shane as a director and accepted the withdrawal of Barbara K. Sullivan. Offices were reassigned: David Sullivan, President and Treasurer; Kenneth Magee, Secretary. The board now has three directors; two seats remain open.

August 10, 2026 — The board of Oregon Advocates for School Trust Lands voted 3–0 to establish a non-exclusive strategic alliance with the Library, limited to information, education, and preservation, and carrying no control, no agency, no financial obligation, and no litigation position on either side. Either board may end it at any time. OASTL is the advocacy organization Dave Sullivan also serves as president; he disclosed the dual role and sat out the vote. The Library's board acted on the alliance on September 10, 2026; see the next entry.

September 10, 2026 — Unanimous written consent of the board, in seven resolutions, circulated by the President on September 7 and signed in counterparts: Kenneth Magee by signed copy returned September 8; Barry Shane by written assent returned September 8; David Sullivan on September 10, the date the instrument took effect. On the two alliance resolutions David Sullivan disclosed his interest and took no part; Kenneth Magee and Barry Shane, each stating that he has no interest in either organization, approved them. The executed instrument and the Secretary's certificate are kept with the corporate records. What the board resolved:

1. Adopted as Version 1, September 2026, the six documents published at Participate — working editions, numbered and dated, which the board may revise at any time — and, for its own use and not published, a distribution plan.
2. Accepted, on the Library's side, the alliance established by the August 10, 2026 resolution of Oregon Advocates for School Trust Lands: limited to information, education and preservation; not exclusive, controlling or financial; neither organization directing the other, owing the other money, or speaking for the other; the Library's Constitution governing if the two could ever be read to differ; either board free to end it. Approved by the two directors with no interest in that organization, Kenneth Magee and Barry Shane; David Sullivan, its president, disclosed his interest and took no part.
3. Approved, on the Library's side and on the same terms, an alliance with Advocates for School Trust Lands, the national organization, on the terms of the resolution prepared for that board's meeting of August 13, 2026 — to take effect only if and when that board adopts it substantially in that form. The Library neither asks that board to adopt it nor sets it a date. As of September 10, 2026 that board has not acted. Approved by the same two directors; David Sullivan, a director of that organization, disclosed his interest and took no part.
4. Directed the President to prepare and file the Library's application for federal tax-exempt recognition, on the full form, and to put the substantially complete application before the board before it is submitted; made the written finding the bylaws require for the President to hold the Treasurer's office as well, as a temporary and necessary arrangement that ends when a fourth director is seated or another Treasurer is elected, and no later than the election of officers in 2027; and adopted three amendments to the Articles of Incorporation — stating the Library's particular purposes, stating the order in which its assets would pass if the Library were ever wound up, and requiring two board votes thirty days apart to change those two articles — to be filed with the Oregon Secretary of State. Neither the application nor the amendments has yet been filed.
5. Directed the Secretary to publish the postings for two director seats and the Law Librarian. Published September 10, 2026, with replies to the President, Dave Sullivan, at drdavesullivan@gmail.com, at Open seats.
6. Directed that the presidency be filled by a person other than the founder no later than December 31, 2027, with the search beginning now; recorded the founder's separation timetable, including that the Founders' Statement year ends about June 14, 2027, and asked the Secretary to bring the reconciliation to the board before March 31, 2027.
7. Ratified the correction of the Library's published description of its federal filing — corrections log entry 022, September 8, 2026 — and confirmed that until a determination is in hand no Library page will describe the Library as exempt under the federal tax code, describe a contribution as tax-deductible, publish the Library's federal employer identification number, or carry a signature image.

Open — the federal tax-exemption determination. America's School Trust Library is an Oregon nonprofit public benefit corporation. The Library has not yet filed its application for federal tax-exempt recognition; it is being prepared. No federal tax-exemption determination has been issued, and until one is, the Library does not describe contributions as tax-deductible. On September 10, 2026 the board directed that the application be prepared and put before it before submission.

Open — the alliance with Advocates for School Trust Lands, which takes effect on the Library's side only when that organization's board adopts its resolution; and the Articles of Amendment adopted by the board on September 10, 2026 and not yet filed.
