Organizational record — This page is the Library's organizational record — what was filed, when, and by whom. The plan-version of this page, written before any of it had happened, was superseded August 3, 2026.

This page once described, in the future tense, how the Library would become a legal organization. That work is done; the plan-version of this page is preserved in the Library's records, superseded August 3, 2026. What follows is what actually happened.

The record

July 10, 2026 — Oregon Department of Justice Charitable Activities Registration No. 72571 acknowledged.

July 15–16, 2026 — Certificate of name compliance issued by the Division of Financial Regulation (corrected copy July 16), authorizing use of “Trust” in the corporate name.

July 21, 2026 — Articles of Incorporation e-filed with the Oregon Secretary of State. Oregon Registry No. 259005891.

July 30, 2026 — Federal Employer Identification Number issued (kept as an internal corporate record).

August 3, 2026 — The founding board — David Sullivan, President; Barbara K. Sullivan, Treasurer; Kenneth Magee, Secretary — seated by unanimous written consent, adopting Bylaws v7, the Constitution and Readers' Bill of Rights v1, and a Conflict of Interest Policy v2. All published on the governance page.

August 9, 2026 — The board added Barry Shane as a director and accepted the withdrawal of Barbara K. Sullivan. Offices were reassigned: David Sullivan, President and Treasurer; Kenneth Magee, Secretary. The board now has three directors; two seats remain open.

August 10, 2026 — The board of Oregon Advocates for School Trust Lands voted 3–0 to establish a non-exclusive strategic alliance with the Library, limited to information, education, and preservation, and carrying no control, no agency, no financial obligation, and no litigation position on either side. Either board may end it at any time. OASTL is the advocacy organization Dave Sullivan also serves as president; he disclosed the dual role and sat out the vote. The Library's own board has not yet acted on the alliance; when it does, the action will be recorded here.

Open — the federal tax-exemption determination. America's School Trust Library is an Oregon nonprofit public benefit corporation. Its application for recognition of exemption has been filed; no determination has been issued.
